UYSC Online Client Community and Resource Center User Agreement

Welcome to the UP Your Service! College Online Client Community and Resource Center (“UYSC Online Resource Center”), a service provided by UP Your Service! Global Pte Ltd. Access to the UYSC Online Client Community and Resource Center is made available to you subject to the following conditions. By accessing and using the UYSC Online Client Community and Resource Center, you are stating that you have read and agree to the terms and conditions of this User Agreement just as if you had signed an agreement with us containing the User Agreement.

IF YOU DISAGREE WITH ANY OF THE TERMS THAT FOLLOW, OR DO NOT AGREE TO BE BOUND BY ALL SUCH TERMS, DO NOT ACCESS OR USE THE UYSC ONLINE RESOURCE CENTER OR THE MATERIALS AND APPLICATIONS CONTAINED THEREIN.

“UYSC”, “we”, “us”, “our” and similar terms refer to UP Your Service! Global Pte. Ltd. (Singapore UEN No. 200714132C). “You” refers to the natural person who makes use of the UYSC Online Client Community and Resource Center subject to the terms of this User Agreement.

1. PRICING AND PAYMENT POLICY

Membership in and access to the UYSC Online Client Community and Resource Center is granted entirely and solely at our discretion. We reserve the right to change our membership plans any time. If you do not agree with any such changes, you should immediately terminate this Agreement in accordance with Section 7 and cease the use of the UYSC Online Client Community and Resource Center.

2. PERMITTED USE AND RESTRICTION ON USE

PERMITTED USE

The purpose of the UYSC Online Client Community and Resource Center is to promote education and exchange of ideas and information relating to the subject of “Building a Better Service Culture” (the “Purpose”). The UYSC Online Client Community and Resource Center contains material and content including text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, databases or computer code (the “Materials”) relating to the Purpose.

As a registered user, you may:

(i)     access and view the UYSC Online Client Community and Resource Center and the Materials;

(ii)    contribute to the UYSC Online Client Community and Resource Center by posting messages, communications, articles, media, materials or other contributions (“Contributions”).

Non-registered users may not use or access the UYSC Online Client Community and Resource Center.

Your Contributions must relate to the Purpose and we reserve the right to remove or require the removal from the UYSC Online Client Community and Resource Center of Contributions which we deem to be irrelevant or detrimental to the Purpose.

As a registered user you may create a hyperlink to the home page of UP Your Service! College at http://UpYourService.com or to the URL of any other publicly accessible page on that website, provided that such hyperlinking shall not portray UYSC, its products, services, affiliates or employees in a false, misleading, derogatory or otherwise offensive manner. You further agree to remove any such hyperlink immediately upon our request.

RESTRICTIONS ON USE

You agree not to sell, publish, distribute, retransmit or otherwise provide access to the UYSC Online Client Community and Resource Center or Materials or content received through the UYSC Online Client Community and Resource Center to anyone, including your fellow employees.

You agree not to create abstracts from, scrape or display from our Materials for use on another web site or service. You agree not to post any Materials from the UYSC Online Client Community and Resource Center to newsgroups, mail lists or electronic bulletin boards, without our prior written consent. You agree not to collect User Information (as defined in Section 3 below) of other registered users using automated means.

No Materials may be copied, reproduced, republished, uploaded, posted, publicly displayed, transmitted, adapted, modified or distributed in any way or decompiled, reverse engineered or disassembled or otherwise reduced to a human-perceivable form. Modification of any Materials for any other purpose than as permitted in this User Agreement may not be undertaken without our prior express written consent.

We grant you individually a limited license in the Materials for the purpose of you using and accessing the UYSC Online Client Community and Resource Center in accordance with these terms, but we do not transfer title to the Materials to you. We retain full and complete title to the Materials and all intellectual property rights therein. You may not distribute any of the Materials to others, in a manner other than for which it was intended, including, without limitation, any person in the business organization by which you are employed or otherwise affiliated, whether or not for payment or other consideration, and you may not modify, copy, frame, cache, reproduce, sell, publish, transmit, display or otherwise use any portion of the Materials on any other website or networked computer environment.

The above restrictions apply regardless of whether your intended adaptation, distribution, publication or republication , reproduction, modification, decompilation, reverse engineering, disassembly, reduction to human-perceivable form, disclosure, copying, framing, caching, scraping, sale, transmission, display or other use of the Materials is for a commercial, non-commercial, academic or educational purpose.

3. REGISTRATION OF YOUR ACCOUNT AND ACCOUNT SECURITY

Your access to the UYSC Online Client Community and Resource Center is made available subject to you registering a user account with UYSC through the UYSC website. When registering for a user account, you will provide your real name and particulars, and must not:

(i)     provide any false personal information;

(ii)    create an account for a person other than yourself;

(iii)   share your password or allow anyone else to access your account or conduct any activity through your account;

(iv)    transfer your account to anyone without our prior written consent.

You are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer, and you agree to accept responsibility for all activities that occur under your account or password.

You must keep your registered contact information accurate and up to date. UYSC may at its sole discretion require you to change your registered user name for any reason.

By entering into this Agreement you are representing and warranting to UYSC that you are at least 18 years of age or at least of the prescribed legal age of majority in your jurisdiction.

Solely to enable UYSC to use the personal information you supply us with during registration and at any time thereafter (the “User Information”), so that we are not violating any rights you might have in that information, you agree to grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable (through multiple tiers) right to exercise the copyright, publicity, and database rights (but no other rights) you have in your User Information, in any media now known or not currently known, with respect to your User Information.  We will only use your User Information in accordance with UYSC’s Privacy Policy (available at http://www.UpYourService.com/privacy-policy).

4. CONTRIBUTIONS, COMMUNICATIONS AND SUBMISSIONS

When you visit the UYSC Online Client Community and Resource Center, post or submit messages, communications, materials or submissions on the UYSC Online Client Community and Resource Center or send e-mails to the UYSC Online Client Community and Resource Center, you are communicating with UYSC electronically. By registering a user account with us, you consent to receive communications from us electronically. We will communicate with you by e-mail or by posting notices on the UYSC Online Client Community and Resource Center. You agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

Any Contributions (as defined above) or other material (apart from User Information) which you post on any part of the UYSC Online Client Community and Resource Center including the Forums (as defined in Section 6 below) or transmit to the UYSC Online Client Community and Resource Center or UYSC by electronic mail, telephone conference call, live or recorded interview, or otherwise, including creative suggestions, ideas, notes, drawings, concepts or other information, communications including any data, questions, comments, suggestions, or the like shall upon being posted constitute the property of UYSC and shall form part of the Materials (as defined above). None of the Contributions shall be subject to any obligation of confidence on our part and we shall not be liable for any use or disclosure of any Contributions. You hereby irrevocably assign and agree to assign absolutely all Contributions to UYSC, and UYSC shall be entitled without restriction to use, reproduce, modify, adapt, publish, translate, edit, re-post, moderate, create derivative works from, and distribute or incorporate the Contributions for any purpose whatsoever, commercial or otherwise, without compensation to the provider of the Contributions.

By posting any Contributions on the UYSC Online Client Community and Resource Center, you expressly consent to the display of your internet protocol (IP) address.

Any changes, improvements or variations made by us to the UYSC Online Client Community and Resource Center as a result of suggestions or feedback from you shall be the property of UYSC, and UYSC is under no obligation to compensate or acknowledge you in any way in connection with the same.

5. ADVERTISEMENTS AND LINKED SITES

UYSC and the UYSC Online Client Community and Resource Center are not necessarily affiliated with advertisements posted on (“Advertisements”) or sites that may be linked to the UYSC Online Client Community and Resource Center ("Linked Sites") and we are not responsible for their content. The existence of such Advertisements and Linked Sites does not indicate any approval, endorsement or authentication of any material appearing within such Advertisements or Linked Sites nor does it indicate or guarantee any association between us and the owners or operators of the Advertisements and Linked Sites. You assume sole responsibility for any reliance on or use of the Advertisements and Linked Sites.

6. GUIDELINES FOR CONTRIBUTIONS

The UYSC Online Client Community and Resource Center may include from time to time online bulletin boards, chat rooms, e-mails or other forums for the exchange of messages ("Forums").

We are not responsible for any Contributions or for material posted on the Forums by third parties, and it is a condition of your use of the Forums and the UYSC Online Client Community and Resource Center that you shall not upload, transmit, distribute or otherwise publish (whether through such Forums or otherwise) any Contributions or content which: violates any law; libels; defames; is obscene; hateful; racist; harassing; vulgar; pornographic; abusive; threatening; profane or indecent, including images and language; infringes any intellectual property rights of a person or entity, including without limitation, in violation of copyright or trademark or other proprietary rights; violates or infringes upon the rights of others, including material which is an invasion of privacy or publicity rights; in any way exploits any information, software or other material for commercial purposes or which contains advertising, promotion or marketing without our express prior written consent (and if such consent is given, only to the extent permitted by the terms and conditions designated in our said written consent); is for the benefit of any business entity in which you have a direct or indirect financial interest without our express written consent (and if such consent is given, only to the extent permitted by the terms and conditions designated in our said written consent); solicits gambling or engages in any gambling activity; contains a virus or other harmful component; advocates illegal activity; solicits any illegal act; uses the UYSC Online Client Community and Resource Center for any purpose other than which it is intended; impersonates any person; or uses forged headers or other identifying information in a defamatory way.

While we may not review every Contribution posted by users on the UYSC Online Client Community and Resource Center and are not responsible for the content of these Contributions, we reserve the right to delete, move, or edit Contributions that, in our sole discretion, we deem to be in violation of this User Agreement. You acknowledge that we reserve the right to, and may from time to time, monitor any and all information transmitted or received, for operational and other purposes. Your use of the UYSC Online Client Community and Resource Center constitutes consent to such monitoring. We will cooperate with any and all appropriate legal authorities in investigating claims of illegal activity, including, but not limited to illegal transfer or use of copyrighted material or other illegal activity.

We reserve the right to immediately terminate this User Agreement and/or your access to the UYSC Online Client Community and Resource Center in the event of any violation of this User Agreement by you.

7. ACCOUNT SUSPENSION OR TERMINATION

TERMINATION BY UYSC

UYSC reserves the right to terminate this User Agreement for any reason whatsoever, including without limitation due to any breach by you of this User Agreement. We reserve the right to modify or discontinue the UYSC Online Client Community and Resource Center, or any portion thereof (including Forums) without notice to you or any third party.

TERMINATION BY YOU

You may terminate this Agreement upon written notice to UYSC to be delivered in the manner set out in Section 15 below.

EFFECT OF TERMINATION

In the event of termination of this User Agreement for any reason whatsoever, you are no longer authorized to access the UYSC Online Client Community and Resource Center or any portion thereof. The restrictions and obligations imposed on you with respect to Materials and Contributions, your indemnity and all disclaimers and limitations of liabilities set forth in this Agreement shall survive the termination of this Agreement.

SUSPENSION BY UYSC

UYSC reserves the right to temporarily suspend your access to the UYSC Online Client Community and Resource Center in the event that you have not fully paid your membership fees, have otherwise breached this Agreement, or to facilitate maintenance of the website at which the UYSC Online Client Community and Resource Center is situated, or for any reason whatsoever.

8. CONTINUITY OF SERVICE

UYSC makes every effort to keep the UYSC Online Client Community and Resource Center and running. However, we cannot and do not guarantee that the UYSC Online Client Community and Resource Center and the Materials will be available online and accessible by you at all times. The operation of the UYSC Online Client Community and Resource Center may be interfered with by numerous factors outside of our control. In no event shall we be liable for any disruption of service or inability to access the UYSC Online Client Community and Resource Center.

9. DISCLAIMERS AND LIMITATIONS ON LIABILITY

The UYSC Online Client Community and Resource Center is owned and operated by UP Your Service! Global Pte Ltd., a company incorporated in Singapore. UYSC makes no representation or warranty that the Materials or the UYSC Online Client Community and Resource Center are appropriate or available for use from or in other locations. You are responsible for complying with all local laws in your jurisdiction. Your accessing and use of the UYSC Online Client Community and Resource Center is at your own risk. If you are dissatisfied with the UYSC Online Client Community and Resource Center or the Materials, with this User Agreement or if the UYSC Online Client Community and Resource Center is not functioning to your expectations, your sole and exclusive remedy is to terminate this Agreement in accordance with the terms prescribed in Section 7 above and discontinue accessing and using the UYSC Online Client Community and Resource Center.

UYSC Online Client Community and Resource Center contains facts, views, advice, opinions, statements and recommendations provided by or originating from third party individuals and organizations. UYSC does not represent, guarantee or endorse the accuracy, correctness or reliability of any views, advice, opinion, statement, recommendation or other information displayed, uploaded or distributed through the UYSC Online Client Community and Resource Center. You should regard statements that are non-factual in nature to constitute current opinions, which are subject to change. Any reliance upon any such view, advice, opinion, recommendation or information is at your sole risk.

TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, UNDER NO CIRCUMSTANCES, INCLUDING BUT NOT LIMITED TO NEGLIGENCE, SHALL UYSC, ITS PARENTS, SUBSIDIARIES, AFFILIATES AND THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES AND AGENTS OR ANY OTHER PARTY INVOLVED IN CREATING, PRODUCING, OR DELIVERING THIS SITE BE LIABLE FOR ANY DAMAGES OF ANY KIND, INCLUDING, BUT NOT LIMITED TO, SPECIAL, DIRECT, INCIDENTAL, CONSEQUENTIAL (INCLUDING, WITHOUT LIMITATION, LOST PROFITS), INDIRECT OR PUNITIVE DAMAGES ARISING OUT OF YOUR ACCESS TO, USE OF OR INABILITY TO USE, THE UYSC ONLINE RESOURCE CENTER, EVEN IF UYSC WAS ADVISED BEFORE HAND OF SUCH POSSIBILITY. UYSC DOES NOT WARRANT THAT THE UYSC ONLINE RESOURCE CENTER, ITS SERVERS, OR E-MAIL SENT FROM UYSC ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. UYSC IS NOT RESPONSIBLE OR LIABLE FOR ANY DAMAGES TO, OR INFECTIONS OR CONTAMINATION OF YOUR SYSTEM, COMPUTER, EQUIPMENT, OR OTHER PROPERTY, OR DELAYS, INACCURACIES, ERRORS, OR OMISSIONS ARISING OUT OF YOUR USE OF THE UYSC ONLINE RESOURCE CENTER OR OF THE MATERIAL WHETHER THE MATERIAL IS PROVIDED OR OTHERWISE SUPPLIED BY UYSC OR ANYONE ELSE. IN NO EVENT SHALL UYSC'S TOTAL LIABILITY FOR ALL LOSSES, DAMAGES AND CAUSES OF ACTION (WHETHER IN CONTRACT, TORT INCLUDING BUT NOT LIMITED TO NEGLIGENCE OR OTHERWISE) EXCEED THE ANNUAL AMOUNT PAID BY YOU, THE REGISTERED USER, FOR ACCESSING THE UYSC ONLINE RESOURCE CENTER. THE UYSC ONLINE RESOURCE CENTER AND ALL MATERIALS ARE MADE AVAILABLE, DISTRIBUTED AND TRANSMITTED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT REPRESENTATIONS OR WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, AS TO THE OPERATION OF UYSC ONLINE RESOURCE CENTER, THE MATERIALS AND ANY OTHER INFORMATION, CONTENT OR PRODUCTS INCLUDED THEREIN, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF TITLE OR IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, OR OF NON-INFRINGEMENT. THE ENTIRE RISK AS TO THE QUALITY, ACCURACY, ADEQUACY, COMPLETENESS, CORRECTNESS AND VALIDITY OF ANY MATERIAL RESTS WITH YOU. YOU EXPRESSLY AGREE THAT YOUR USE OF THIS SITE IS AT YOUR SOLE RISK.

CERTAIN STATE LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS, EXCLUSIONS, OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MIGHT HAVE ADDITIONAL RIGHTS.

10. INDEMNIFICATION

You agree to defend, indemnify and hold harmless UYSC, its parent and holding companies, subsidiaries, affiliates and their respective directors, officers, employees and agents from and against any and all claims, actions, suits or proceedings, as well as any and all losses, liabilities, damages, costs and expenses (including reasonable attorneys fees) arising out of or in connection with: (a) any Materials posted or otherwise provided by you that infringe any copyright, trademark, trade secret, trade dress, patent or other intellectual property right of any person or defames any person or violates their rights of publicity or privacy, (b) any misrepresentation made by you in connection with your use of the UYSC Online Client Community and Resource Center,(c) reliance by you on the UYSC Online Resource Center or any Materials; (d) any non-compliance by you with the User Agreement; and (e) claims brought by persons or entities other than the parties to this Agreement arising from or in connection with your access and use of the UYSC Client Community and Online Resource Center, including the Materials.

11. COPYRIGHT

The UYSC Online Client Community and Resource Center and the Materials are the property of UYSC or its licensors and is protected by Singapore and international copyright and other laws. The Materials may be derived in whole or in part from material supplied by UYSC, Ron Kaufman and other sources.

UYSC respects the intellectual property of others. If you believe that your work has been copied in a way that constitutes copyright infringement, please send an email to us at This e-mail address is being protected from spambots. 12. ASSIGNMENT

You may not assign or transfer your rights or obligations arising under this Agreement without UYSC's prior written consent. Any such purported assignment or transfer shall be null and void. UYSC may assign or transfer its rights and obligations under this Agreement, but must within 90 days of such assignment or transfer provide you with written notice of the same.

13. ADDITIONAL TERMS

The following policies are incorporated into this Agreement by reference and provide additional terms and conditions related to specific services offered on the UYSC Online Client Community and Resource Center:

(i)     Privacy Policy, available at http://www.upyourservice.com/privacy-policy;

(ii)    Trademarks Notice, available at http://www.upyourservice.com/trade-marks;

(iii)   additional policies, rules, guidelines or regulations governing the use of and access to the UYSC Online Client Community and Resource Center as UYSC may issue from time to time.

Each of these policies may be changed by UYSC from time to time and are effective immediately after we post the changes on the UYSC Online Client Community and Resource Center or the UYSC website. All such posted policies are hereby incorporated by reference into this Agreement, which constitutes the entire agreement between you and UYSC with respect to the subject matter contained herein and supersedes all previous and contemporaneous agreements, proposals and communications, written or oral, between UYSC and you.

14. AMENDMENT OF AGREEMENT

UYSC may amend this Agreement from time to time for any reason whatsoever. Any such amendments shall take effect upon being posted on the UYSC Online Client Community and Resource Center or such other location as we may notify you from time to time. If you do not agree with any such amendments, , you should immediately terminate this Agreement in accordance with Section 7 above and cease the use of the UYSC Online Client Community and Resource Center.

15. NOTICES

Notices under this Agreement shall be sent to:

(ii)    If to you: Via email to your email address provided to us as part of your User Information, or by post to your mailing address provided to us as part of your User Information.

Notices shall be deemed to have been received 24 hours after the email is sent, unless the sending party receives a notification or reply that the email message has not successfully been delivered to the email address of the recipient. Where UYSC sends you a notice via post, such notice shall be deemed to have been received by you 3 business days from the date of posting.

16. MISCELLANEOUS

This Agreement shall be governed by, construed and enforced in accordance with the laws of the Singapore, and you hereby agree to submit to the non-exclusive jurisdiction of the courts of Singapore.

Nothing in this Agreement shall prevent UYSC from complying with applicable laws.

This Agreement shall not confer any rights on third parties under the Contracts (Rights of Third Parties) Act (Chapter 53B of Singapore) or any other applicable legislation.

If any provision of this Agreement is void or unenforceable in whole or in part, the remaining provisions of this Agreement shall not be affected thereby.

You and UYSC are independent contractors, and no agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by this Agreement.

Failure by UYSC to take action against a breach by you or others does not waive UYSC's right to take action with respect to subsequent or similar breaches.

YOU AND UYSC REPRESENT AND WARRANT TO EACH OTHER THAT THEY EACH HAVE FULL POWER (INCLUDING CORPORATE POWER) AND AUTHORITY TO EXECUTE AND DELIVER THIS AGREEMENT AND TO PERFORM THEIR OBLIGATIONS HEREUNDER, AND THAT THIS AGREEMENT CONSTITUTES EACH OF YOUR AND UYSC’S BINDING LEGAL OBLIGATIONS.
